We are a boutique corporate law firm specializing in corporate/securities transactions and litigation. I am a corporate transactional lawyer and represent clients in capital raising transactions (private placements of debt and equity, including venture capital investments and private equity investments); mergers, acquisitions, dispositions and other change-of-control transactions; structured finance transactions; joint ventures and strategic alliances; and general corporate, partnership and LLC matters.
|
| |
I provide corporate transactional legal services, generally on an hourly basis. That said, because we are a boutique firm, we have the flexibility to consider alternative fee structures in appropriate circumstances.
|
| |
My clients are middle market companies that are "in motion," meaning that they're growing through financing or acquisition, contracting through dispositions, or restructuring their debt and equity. Most are private companies that are looking to grow through debt and equity financing transactions, mergers and acquisitions, joint ventures or strategic alliances, or licensing transactions. Others are private equity funds that require sophisticated corporate counsel for their smaller acquisitions and portfolio companies. Others clients have investments in non-corporate assets (such as real estate) and require sophisticated counsel in the areas of corporate structuring (LLCs, LPs and partnerships) and finance.
